Filing agent
A service company that files a UCC-1 on a funder’s behalf and is named as the secured party itself, so the funder’s own name never appears on the record.
C T Corporation System, Corporation Service Company, First Corporate Solutions and Middesk all appear in this role, sometimes with a representative capacity noted beside the name. CSC and CT Corporation market the arrangement openly, on the basis that it keeps their client’s name out of public records.
Why it matters to a broker
The filing is valid and takes priority as normal; the only thing it withholds is who is behind it. Read a position count taken off filings as a floor rather than a total.
